Online Affiliate Program Agreement

This Affiliate Program Agreement (“Agreement”) is a legally binding contract between Jacobs Quality Tactical (“Company,” “we,” “us”), and you (“Affiliate,” “you”) regarding your participation in the Jacobs Quality Tactical Affiliate Program (the “Program”).
BY CHECKING THE BOX BELOW AND CLICKING “JOIN PROGRAM” / “SUBMIT” / “I ACCEPT” (OR SIMILAR BUTTON), YOU AGREE TO BE BOUND BY THIS AGREEMENT.
This action constitutes your electronic signature and acceptance, just as if you had signed a paper document. If you do not agree, do not check the box or proceed.
1. Enrollment & Promotion
We grant you a limited, revocable, non-exclusive right to promote our products using your unique Affiliate Link and approved marketing materials. You may promote on your website, social media, email, and other channels you control, subject to our approval and this Agreement.
2. Your Obligations
Comply with all laws, including FTC Endorsement Guides: You must clearly disclose your material connection to us (e.g., “#ad”, “affiliate link”, “I may earn a commission from purchases”).
No spam, cookie stuffing, malware, or deceptive practices.
No bidding on our trademarks in paid search without written approval.
No promotion on illegal, adult, or offensive sites.
Use only our provided/approved creatives and links.
3. Intellectual Property
We grant you a limited license to use our trademarks and logos only for promoting the Program. All rights remain ours. You grant us a license to use your name/logo to identify you as an affiliate.
4. Commissions & Payments
Rate: [9] % of net sales (excluding taxes, shipping, returns, chargebacks) from Qualified Purchases tracked via your Affiliate Link within a [30]-day cookie window.
Payout: Monthly via [PayPal / bank transfer].
You are responsible for tracking your performance via our dashboard. Commissions are forfeited on fraudulent/returned orders.
5. Term & Termination
This Agreement starts when you accept and continues until terminated.
Either party may terminate with [7/30] days’ written notice.
We may terminate immediately for breach (including prohibited activities, legal violations, or reputational harm).
Upon termination, stop all promotion and remove our links/materials. Earned commissions (not subject to refund) will be paid in the next cycle.
6. Representations & Indemnity
You represent you have authority to enter this Agreement and will comply with it. You agree to indemnify us against claims arising from your promotions, content, or breaches.
7. Limitation of Liability & Disclaimer
THE PROGRAM AND PRODUCTS ARE PROVIDED “AS IS.” WE DISCLAIM ALL WARRANTIES. OUR TOTAL LIABILITY IS LIMITED TO COMMISSIONS PAID TO YOU IN THE PRIOR [6] MONTHS. NO INDIRECT/CONSEQUENTIAL DAMAGES.
8. Confidentiality
Keep our non-public info (pricing, strategies, etc.) confidential.
9. Governing Law
Ohio law governs. Disputes resolved in Cleveland, Ohio courts (or arbitration if we specify).
10. Changes
We may update this Agreement. Continued participation after changes = acceptance. Check back periodically.
Acceptance
I have read, understood, and agree to be bound by the above Affiliate Program Agreement. I confirm I will comply with all disclosure laws (including FTC rules) in my promotions.
By checking the box and submitting, you confirm you are at least 18 years old (or the age of majority in your jurisdiction) and authorized to bind yourself or your entity.
